Welcome to ProRivet (prorivet.com), operated by Vortex Diamond Inc. (“Company,” “we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, product catalog, quote requests, and online purchasing services.

By accessing prorivet.com or placing an order with us, you (“Customer,” “Buyer,” or “User”) agree to be bound by these Terms. If you do not agree, please refrain from using our website or submitting purchase orders.

1. Business-to-Business (B2B) Sales & Commercial Intent

  • Commercial Purpose: prorivet.com is an industrial e-commerce and commercial procurement platform primarily serving Original Equipment Manufacturers (OEMs), structural fabricators, job shops, distributors, and commercial contractors.
  • Account Authority: Individuals placing orders or requesting credit terms on behalf of a business entity warrant that they have legal authority to bind that organization to these Terms.

2. Pricing, Order Acceptance & Modifications

  • Quotations & Pricing: Prices listed on the website or provided via custom quote are in U.S. Dollars (USD). We reserve the right to update pricing, correct typographical or technical errors, or adjust bulk discount thresholds at any time without prior notice.
  • Order Acceptance: Receipt of an order confirmation does not constitute final acceptance of an order. ProRivet reserves the right to limit order quantities, reject purchase orders, or cancel transactions due to pricing errors, inventory discrepancies, or credit verification failure.
  • Volume & Custom Orders: Orders requiring custom manufacturing, non-standard material specifications, or special plating are non-cancelable once production has commenced.

3. Payment Terms & Taxes

  • Payment Methods: We accept major credit cards (Visa, MasterCard, American Express, Discover), PayPal, and wire transfers/ACH payments.
  • Credit Terms (Net 30): B2B accounts approved for Net 30 terms must remit payment within 30 days of the invoice date. Past-due invoices are subject to a late fee of 1.5% per month (or the maximum allowed by law).
  • Taxes: Buyers are responsible for all applicable state, local, or federal sales, use, or excise taxes. Tax-exempt commercial buyers must provide a valid Tax Exemption Certificate prior to shipment.

4. Shipping, Delivery & Risk of Loss

  • Fulfillment Location: All orders are packed and dispatched from our primary warehouse located at 2302 Foster Ave., Wheeling, IL 60090, USA.
  • Shipping Terms (FOB Origin): Unless explicitly agreed otherwise in writing, all shipments are FOB Shipping Point (Wheeling, IL). Risk of loss and title pass to the Buyer upon transfer of goods to the shipping carrier (FedEx, UPS, or LTL Freight).
  • Delivery Estimates: Delivery dates are estimates only. ProRivet is not liable for carrier delays, weather disruptions, or supply chain bottlenecks beyond our reasonable control.

5. Product Compliance, Engineering Standards & Limited Warranty

  • Manufacturing Standards: ProRivet industrial blind rivets (Open End, Closed End, Multi-Grip) are manufactured to meet applicable IFI (Industrial Fasteners Institute), ISO, and DIN dimensional and mechanical standards.
  • Limited Quality Warranty: We warrant that all fasteners delivered are free from defects in material and workmanship.
  • Disclaimer of Suitability: While we provide Technical Data Sheets (TDS) and shear/tensile guidance, it is the Buyer’s sole responsibility to test and verify that specific fastener dimensions, materials, and grip ranges are suitable for their structural application.

6. Returns, RMA & Restocking Fees

Returns are governed by our official Return Policy:

  • All returns require a Return Merchandise Authorization (RMA) number issued by ProRivet prior to shipment.
  • Customer-initiated returns of standard, unused inventory in original packaging are subject to a 20% restocking fee and buyer-paid freight within 30 days of delivery.
  • Custom orders, opened partial boxes, and clearance items marked as “Final Sale” are non-returnable.

7. Limitation of Liability

To the maximum extent permitted by applicable law, ProRivet and Vortex Diamond Inc. shall not be liable for any indirect, incidental, consequential, special, or punitive damages—including loss of production, shop downtime, labor costs, or lost profits—arising out of the use, installation, or inability to use our fasteners. Our total liability for any claim shall not exceed the purchase price paid for the specific goods giving rise to the claim.

8. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Cook County, Illinois.
