Welcome to prorivet.com (the “Site”), operated by ProRivet (“Company,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, as well as the purchase of any industrial fastening products, blind rivets, and related hardware (“Products”) from us.
By accessing the Site, creating an account, or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Site or purchase Products.
1. Acceptance & General Conditions
- Scope: These Terms apply to all users, visitors, buyers, and commercial entities purchasing Products directly through the Site.
- Commercial Intent: Our Site and Products are intended primarily for commercial, industrial, and B2B buyers (OEMs, fabricators, and distributors) in the United States and Canada.
- Updates to Terms: We reserve the right to update or modify these Terms at any time without prior notice. The updated version will be effective immediately upon posting.
2. Orders, Acceptance & Pricing
- Order Placement: Placing an order on our Site constitutes an offer to purchase Products. Upon checkout, you will receive an automated order confirmation email. This email does not signify our acceptance of your order or confirmation of an offer to sell.
- Order Cancellation by ProRivet: We reserve the right to accept, decline, or limit your order for any reason, including product availability, errors in product or pricing information, or suspected fraud.
- Pricing Currency: All prices are listed and billed in U.S. Dollars (USD) unless explicitly stated otherwise. Prices do not include applicable sales tax, customs duties, import fees, or shipping charges, which will be calculated and added during checkout.
- Price Adjustments: Prices are subject to change without notice due to fluctuations in raw material costs, shipping tariffs, or currency exchange rates.
3. Payment Terms & Security
- Accepted Payment Methods: We accept major credit cards (Visa, MasterCard, American Express, Discover), PayPal, wire transfers / ACH, and other electronic payment systems supported at checkout.
- Full Payment: Orders must be paid in full prior to processing, handling, and dispatch from our warehouse.
- Credit Terms (B2B): Net 30 or corporate credit terms are available only upon prior written approval and a completed credit application. Late payments on approved credit accounts are subject to a service charge of 1.5% per month (18% per annum) or the maximum rate allowed by law.
- Payment Security: Transactions are processed using secure encryption technology. We do not store full credit card information on our servers.
4. Shipping, Delivery & Title Pass
- Order Fulfillment: Orders are fulfilled and shipped directly from our primary warehouse facility located at 2302 Foster Ave., Wheeling, IL 60090, USA.
- Shipping Term (FOB Origin): All shipments are sold under FOB Origin (Wheeling, IL) / EXW (Ex Works) terms. Risk of loss, damage, and title pass to the buyer once the Products are handed over to the freight carrier (e.g., FedEx, UPS, or freight trucking lines).
- Delivery Lead Times: Estimated delivery dates provided during checkout or via order confirmation are estimates only and are not guaranteed. We are not liable for shipping delays caused by carriers, weather events, or customs inspections.
- International Shipments (Canada): Canadian buyers are designated as the Importer of Record and are solely responsible for paying all Canadian import taxes (GST/HST/PST), provincial fees, and customs brokerage duties associated with the shipment.
5. Returns, Refunds & Restocking Fees
- Return Period: Returns must be requested within 30 days of the delivery date. Prior to returning any items, buyers must contact ProRivet customer support to obtain a Return Merchandise Authorization (RMA) number.
- Condition of Returned Goods: To be eligible for a return, Products must be unused, uninstalled, in their original packaging, and in resalable condition.
- Restocking Fee & Shipping: Standard returns are subject to a 20% restocking fee. The buyer is responsible for all return freight charges. Original shipping costs are non-refundable.
- Custom & Special Orders: Custom-manufactured fasteners, special plating/finishes, or non-catalog bulk orders are final sales and cannot be returned, cancelled, or refunded once production has commenced.
6. Limited Warranty & Disclaimers
- Limited Warranty: ProRivet warrants that all Products delivered will be free from defects in material and workmanship for a period of 90 days from the date of shipment, provided they are stored, handled, and used under normal industrial conditions.
- Exclusive Remedy: In the event of a breach of warranty, ProRivet’s sole obligation—and the buyer’s exclusive remedy—is limited to either replacing the defective Products or refunding the purchase price of the defective units, at our discretion.
- Warranty Disclaimer: EXCEPT AS EXPRESSLY PROVIDED HEREIN, ALL PRODUCTS ARE PROVIDED “AS IS.” PRORIVET DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
7. Limitation of Liability
- No Consequential Damages: To the maximum extent permitted by applicable law, ProRivet shall not be liable for any indirect, incidental, special, punitive, or consequential damages—including loss of profits, business interruption, factory downtime, or labor costs—arising out of or related to the purchase, use, or inability to use our Products.
- Maximum Liability: ProRivet’s maximum aggregate liability for any claim arising out of or relating to an order shall not exceed the actual amount paid by the buyer for the specific Products giving rise to the claim.
8. Product Application & Safety
- Buyers and engineers are solely responsible for evaluating Product technical specifications (e.g., grip range, shear strength, tensile strength, material compatibility) to ensure appropriateness for their specific structural and safety applications.
